ARTICLE I NAME
The name of the club is the SOUTHERN EAGLE SQUADRON, INCORPORATED. The Academy of Model Aeronautics Charter number is 1707. The Club mailing address is P.O. Box 492005, Leesburg, Florida 34749. The club is a not-for-profit corporation organized under the laws of the State of Florida.
ARTICLE II PURPOSE
The purpose of this club shall include but not necessarily be limited to the following: To organize the efforts of its members to promote the development of radio controlled aircraft as a recreational, sporting and educational activity; to participate in and foster the programs of the Academy of Model Aeronautics (AMA); to encourage members to develop good citizenship, sportsmanship and responsibility toward others through participation in the club’s programs; to develop, maintain and improve a suitable site for club activity and to oversee the activity at such site to insure safe and considerate operations.
ARTICLE III MEMBERSHIP
SECTION 1: Any person eligible for membership in the Academy of Model Aeronautics is also eligible for membership in the club. All operators of models at the club site or club functions at other sites must be current members of AMA in a category of membership which provides full insurance coverage. Each applicant for membership will complete the prescribed form and pay the one-time installation fee in effect at the time of the application, excluding junior members . SECTION 2: Membership classes and dues structure: A. Each membership class will be assessed dues as determined by the Board of Directors and approved by vote of the membership to be sufficient to meet expected operating costs. Initiation fee and other one-time assessments needed from time to time will also be determined by the Board of Directors and approved by membership vote prior to collection.
B. Open Member: All members who have reached and passed the age of 18 years as of the first of January of the membership year will pay annual dues as currently determined by the Board of Directors. Initial year’s dues only may be discounted depending on the months remaining in the year.
C. Junior Member: All members who have not reached the age of 18 years as of the first of January of the membership year will pay a specially reduced annual dues as currently determined by the Board of Directors, with no reduction for less than one year.
D. Family Members: Applicant plus spouse and/or children under 18 years of age will pay a special reduced Family dues as currently determined by the Board of Directors
SECTION 3: Annual dues are on a calendar basis and are due and collectable prior to the last day of the current year for the following membership year. Dues are delinquent as of 1 January and if not paid by 31 January, delinquent members will be deleted from membership rolls. A member’s dues must be currently paid in order to exercise a vote in club business, or utilize club facilities.
ARTICLE IV OFFICERS
SECTION 1: The elected officers of the club shall be President, Vice-President, Secretary and a Treasurer. The offices of Secretary and Treasurer may be combined if it is impossible to fill the offices separately. The President shall appoint a Membership Director. The elected officers shall serve for a period of one year or until successors are duly elected and installed. In the event any officer is unable to complete his term in office, a pro-tem election will be held.
SECTION 2: The President is the chief executive officer of the club and will preside over all meetings of the club, will appoint any committees and the chairpersons of such and will be a member with full voting rights of all committees. All contracts or obligations incurred by the club shall bear the signature of the President and shall not be valid unless so signed. The President shall be one of two authorized signers of checks issued on the club account, the other being the Treasurer. The President shall convene meetings of the Board of Directors and committee chairpersons as needed to assess the objectives, activities, planned events, operating and financial condition of the club and to form recommendations concerning such matters for presentation to the membership.
SECTION 3: The Vice- President shall perform such duties as are prescribed by the President. Additionally, the Vice-President will assume the duties and responsibilities of the President in the event of his absence or disability.
SECTION 4: The Secretary is the official record keeper of the club and as such will keep a complete and accurate record of all meetings of the club. The Secretary will conduct all routine correspondence, communicate the master membership roster updates to the AMA, and perform such other duties as may be required by club activity. Any newsletters or other official publications of the club will be approved by the Secretary and a record copy retained.
SECTION 5: The Treasurer shall have custody of all corporate funds and shall keep, in computer files or books belonging to the club, a full and complete accounting of all receipts and expenditures of club funds. All moneys of the club shall be deposited in the club account in an expeditious manner. If so required by the membership, the Treasurer accounts will be audited prior to turnover to a new treasurer. Any discrepancies will be rectified prior to turnover.
SECTION 6: The Membership Director, an officer appointed by the President, shall be directly responsible for implementing established club policies regarding potential, new, current, and rejoining members. The Membership Director shall be a member of the Board of Directors.
SECTION 7: Subject to the majority vote of the membership to the contrary, the officers are authorized to execute and perform all corporate acts appropriate to carry on the business of the club. All officers including the Membership Director, shall serve without compensation.
SECTION 8: For the purposes of incorporation the club officers will fulfill Director’s duties, serving as Board of Directors.
ARTICLE V MEETINGS
SECTION 1: Meetings of the general membership should be held preferably on the 2nd or 3rd Thursday of each month, except if approved by the membership for suspension during the summer months. The date, time and location of scheduled meetings will normally be published to the membership at least one month in advance, and at least one week in advance of a rescheduled meeting.
SECTION 2: Each club membership shall have one vote, except Junior members, who are non-voting members.. Proxy votes are not authorized. Ten percent (10%) of the total membership shall constitute a quorum for the conduct of routine business due to the large number of non-permanent resident members. A simple majority of the members voting shall be required to pass any motion at any meeting, except in the case of amendment of these By-Laws as required in Article VIII.
ARTICLE VI ELECTIONS
SECTION 1: In the month of November of each year, the President shall appoint a nominating committee consisting of a chairman and two other members for the purpose of preparing a slate of candidates for election to each office. This slate will be presented to the membership at the annual election in December. Additional nominations may be made from the floor, by any member, at any time until such time as nominations are closed by motion or vote,
SECTION 2: Election shall be by ballot cast in person or in the case of “no contest”, by acclimation, if so moved and carried. An excess of votes cast for any candidate over those cast for any opponent will be deemed sufficient for election. Ballots, if required, will be tallied and elected nominees announced at the election meeting.
SECTION 3: Assumption of elected office will occur at the start of “New Business” at the first meeting of the new fiscal year.
ARTICLE VII DISSOLUTION
SECTION 1: In the event of the dissolution or termination of the club in any manner or for any reason whatsoever, the assets of the club that remain after payment or making provisions for payment of all club liabilities, shall be donated to The Academy of Model Aeronautics.
ARTICLE VIII ADOPTION, AMENDMENT, IMPLEMENTATION
SECTION 1: These by-laws may be amended, altered, changed, added to or repealed by the affirmative vote of two-thirds (2/3) of members present who are entitled to vote, at any regular or special meeting of the club, a quorum being present. Notice that such motion is to be made and voted upon by the members shall be announced at least 30 days before the meeting. These by-laws shall be in full force and effect immediately upon adoption, and shall remain in effect until dissolution or termination of the club or upon amendment.
